PREAMBLE
This Partner & Sponsor Charter defines the principles, rules, rights, limitations, and governance boundaries governing all partnerships, sponsorships, donations, and collaborations with XYnovaethrix.
The purpose of this Charter is to enable global collaboration while permanently protecting: - Founder sovereignty - Platform independence - User trust - Operational integrity
No partnership or sponsorship shall override the constitutional authority of XYnovaethrix.

XYnovaethrix engages partners and sponsors to:
- Accelerate innovation - Expand global reach - Support platform sustainability - Deliver value to users
Partnerships are collaborative, not controlling.

ARTICLE II β ELIGIBLE PARTNER TYPES
XYnovaethrix may collaborate with:
1. Corporate partners 2. Technology providers 3. Academic and research institutions 4. Media and content organizations 5. Non-profits and foundations 6. Governmental or intergovernmental bodies (where lawful) 7. Individual sponsors or patrons

ARTICLE III β SPONSORSHIP & FUNDING MODELS
Approved models include:
- Financial sponsorships - In-kind contributions - Grants and donations - Co-branded initiatives - Revenue-sharing arrangements
Critical Rule: Funding does not confer ownership, governance, voting rights, or control.

ARTICLE IV β GOVERNANCE BOUNDARIES (NON-NEGOTIABLE)
1. Partners and sponsors shall not: - Influence governance decisions - Access internal control systems - Override platform policies - Direct user data usage
2. All strategic authority remains with XYnovaethrix.
3. Any clause attempting to dilute Founder authority is void.

ARTICLE V β BRAND, IP & REPRESENTATION
1. Use of XYnovaethrix name, logo, or branding requires written authorization. 2. Partners retain ownership of their own IP unless otherwise agreed. 3. Joint branding does not imply joint ownership.

ARTICLE VI β DATA & CONFIDENTIALITY
1. Partners shall comply with XYnovaethrix data protection standards. 2. Confidential information must be protected. 3. No unauthorized data sharing or exploitation is permitted.

ARTICLE VII β ETHICAL & LEGAL COMPLIANCE
Partners must:
- Comply with applicable laws - Respect user rights - Avoid deceptive, harmful, or exploitative practices - Maintain ethical conduct
XYnovaethrix reserves the right to refuse or terminate partnerships violating these principles.

ARTICLE VIII β TERMINATION & EXIT
1. XYnovaethrix may terminate partnerships: - For breach of this Charter - For legal or reputational risk - At strategic discretion
2. Termination does not create liability beyond agreed obligations.

ARTICLE IX β LIABILITY & INDEMNIFICATION
1. Partners are responsible for their own actions. 2. Partners agree to indemnify XYnovaethrix against claims arising from their conduct. 3. XYnovaethrix liability is limited as defined in governing policies.

ARTICLE X β TRANSPARENCY & DISCLOSURE
1. Sponsorships may be publicly disclosed where appropriate. 2. Disclosure does not imply endorsement of partner activities.

ARTICLE XI β MODIFICATIONS
1. This Charter may be updated by XYnovaethrix. 2. Continued collaboration constitutes acceptance of updates.

Applicable law is determined by jurisdiction of operation unless otherwise required.
