PREAMBLE
These by-laws define operational, legal, and governance rules for XYnovaethrixβs multiple entities and platforms while remaining subordinate to the Founderβs Internal Constitution.
Each entity may have specific procedures, staff roles, and operational autonomy as long as they do not conflict with the supreme Founder authority.

ARTICLE I β ENTITY DEFINITIONS
1. Search Engine: Handles indexing, search results, analytics, and related services. 2. Partner-Us Platform: Manages sponsorships, partnerships, donations, and collaborations. 3. API & Developer Services: Offers APIs, developer tools, and integrations. 4. Media / Data / Intelligence Units: Content, reporting, research, and internal analytics.
Each entity can create internal SOPs but must align with overarching XYnovaethrix rules.

ARTICLE II β GOVERNANCE STRUCTURE
1. Each entity is managed by a Director appointed by Founder. 2. Directors report directly to the Founder or designated Successor. 3. No entity may act autonomously outside Founder-approved strategy. 4. Entity-level decisions may include: - Daily operations - Staff management - Technical development - Budget allocation (within limits)

ARTICLE III β STAFF & ROLES
1. All staff are appointed by Founder or entity Director. 2. Roles and responsibilities are defined internally but remain subordinate to this Constitution. 3. Delegation of duties does not transfer authority.

ARTICLE IV β OPERATIONS & PROCEDURES
1. Entities must maintain: - Security protocols - Data protection compliance - Financial accountability - Risk monitoring 2. Internal SOPs may be documented per entity but must reference overarching XYnovaethrix policies.

ARTICLE V β REVENUE & FUND MANAGEMENT
1. Entities follow the Revenue & Trust Framework. 2. Revenue must be reported and auditable. 3. Entities cannot create independent revenue models outside Founder-approved streams.

ARTICLE VI β PARTNERS, CONTRIBUTORS & USERS
1. Entities manage partner, sponsor, and contributor interactions per global agreements. 2. Users are subject to the User Terms of Service. 3. No entity may override privacy, trust, or legal obligations.

ARTICLE VII β RISK & LIABILITY
1. Each entity implements internal monitoring and compliance checks. 2. Risk incidents are escalated to Founder immediately. 3. Entities follow the Risk, Liability & Platform Immunity Policy.

ARTICLE VIII β POLICY AMENDMENTS
1. By-laws may be updated by Founder or Founder-appointed authority. 2. Entity-specific SOPs may change as needed, provided they do not conflict with Founder authority. 3. Public-facing entities may have a simplified public version of by-laws for transparency.

ARTICLE IX β SEVERABILITY
If any provision is deemed unenforceable, remaining provisions remain valid.
