PREAMBLE
This Contributor & Developer Agreement ("Agreement") governs all forms of contribution to XYnovaethrix, including but not limited to software code, content, data, documentation, designs, research, APIs, integrations, and technical services.
The purpose of this Agreement is to: - Enable open and collaborative contribution - Protect XYnovaethrix intellectual property and platform integrity - Prevent ownership disputes - Ensure global enforceability
By contributing to XYnovaethrix, you agree to be bound by this Agreement.

ARTICLE I – DEFINITIONS
- "Contributor": Any individual or entity providing contributions. - "Contribution": Any code, content, data, design, idea, or work submitted. - "Platform IP": All intellectual property owned by XYnovaethrix. - "Derivative Works": Modifications or works based on contributions.

ARTICLE II – ELIGIBILITY & AUTHORITY
1. Contributors must have the legal right to contribute submitted materials. 2. Contributions must not infringe third-party rights. 3. XYnovaethrix may accept or reject contributions at its discretion.

ARTICLE III – INTELLECTUAL PROPERTY LICENSE & ASSIGNMENT
3.1 License Grant
Contributors grant XYnovaethrix a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to:
- Use - Modify - Reproduce - Distribute - Display - Create derivative works
From all Contributions, for any purpose.
3.2 Assignment (Where Permitted)
Where legally permissible, Contributors assign all right, title, and interest in Contributions to XYnovaethrix.
Where assignment is not permitted, the license in Section 3.1 applies.

ARTICLE IV – NO OWNERSHIP OR GOVERNANCE RIGHTS
1. Contributions do not confer: - Ownership - Equity - Voting rights - Governance authority
2. Contributors acknowledge XYnovaethrix as the sole platform owner.

ARTICLE V – COMPENSATION
1. Contributions may be: - Voluntary - Paid - Revenue-sharing (by separate agreement)
2. No compensation is implied unless expressly agreed in writing.

ARTICLE VI – ATTRIBUTION
1. Attribution may be granted at XYnovaethrix discretion. 2. Attribution does not imply ownership or endorsement.

ARTICLE VII – CONFIDENTIALITY
1. Contributors may access confidential information. 2. Confidential information must not be disclosed or misused. 3. Confidentiality obligations survive termination.

ARTICLE VIII – SECURITY & COMPLIANCE
Contributors must:
- Follow security guidelines - Avoid introducing vulnerabilities - Comply with platform policies
XYnovaethrix may audit or revoke access.

ARTICLE IX – WARRANTIES & REPRESENTATIONS
Contributors represent that:
- Contributions are original or lawfully licensed - No malicious code is included - Contributions comply with applicable laws

ARTICLE X – LIABILITY & INDEMNIFICATION
1. Contributors are responsible for their contributions. 2. Contributors agree to indemnify XYnovaethrix against claims arising from their contributions. 3. XYnovaethrix liability is limited as defined in governing policies.

ARTICLE XI – TERMINATION
1. XYnovaethrix may terminate contributor access at any time. 2. Termination does not revoke granted licenses.

ARTICLE XII – GOVERNING LAW & JURISDICTION
Applicable law is determined by jurisdiction of operation unless otherwise required.

ARTICLE XIII – MODIFICATIONS
This Agreement may be updated periodically.
Continued contribution constitutes acceptance of updates.

ARTICLE XIV – ENTIRE AGREEMENT
This Agreement constitutes the entire understanding regarding contributions.
